“Valley Arts and Social Society” Constitution

The group will be known as “Valley Arts & Social Society”.

The aims of the society are to enjoy a variety of arts through performances, visits and social events within the community.

· MEMBERSHIP All persons over 18 years of age who pay subscriptions.

· SUBSCRIPTIONS An annual fee of £15 will be paid to the treasurer in January of each year.

· COMMITTEE The society will be managed by an elected committee consisting of maximum of 14 members including a chairperson, vice chairperson, secretary, treasurer. If a full committee is not appointed at the A.G.M the committee can co-opt new members at any time. Each of these members will be responsible for the organisation of at least one planned event per year, 2 members for small events, and 4 for the larger ones. The committee shall have the power to appoint competent people to undertake technical, musical and directive roles to assist with a production. There will be a minimum of 5 meetings per year including the A.G.M.

· QUORUM Seven members of the committee including two officers shall make a quorum. During a meeting should there be an equal number of votes for a resolution then the chairman has the casting vote.

· OFFICERS Officers will serve for one year, but shall be eligible for re-election from year to year. No person shall remain in the same office for more than 3 years. (5years for the establishment of the group). The election of officers will take place at the A.G.M. There will be no en-block voting.

· THE FINANCIAL YEAR The financial year shall run from January to December. At which time all the accounts will be balanced. The auditor for the ensuing year shall be appointed at the A.G.M. Finances will be managed by the treasurer, who will give a report at each meeting and will balance the accounts, in preparation for auditing before the A.G.M. The treasurer will open an account in the name of “Valley Arts, and Social Society” there will be three signatories for the account (Chairperson, Secretary and Treasurer) two signatures will be necessary for each cheque.

· THE A.G.M The A.G.M will be held on the first Monday in March each year. The secretary shall give all members at least fourteen days notice of the business (Agenda), date and venue. Any two members may nominate another; nomination together with the consent of the nominee must reach the secretary, in writing one week before the A.G.M. If a vote is necessary this will be done by secret ballot.

· EGM The committee can call an extraordinary meeting of the members at any time should the need arise; this would include changes in the constitution. The secretary would give members at least twenty-eight days notice of an EGM.

 

· In the event of “Valley Arts and Social Society” ceasing to be a group. Five members of the committee at the time will be nominated to be responsible for the group’s assets. These assets will be retained for a minimum of 5 years before any decision is taken regarding their disposal.
